Terms of Use

These Terms of Use govern your access to and use of Avalon, including our website, web application, connected integrations, and related services. By accessing or using Avalon, you agree to these Terms.

If you are using Avalon on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

1. The Service

Avalon is an Outlook-first email operations platform. The service may include features such as inbox classification, summarization, draft generation, automation rules, analytics, thread tracking, and connected workflows with supported third-party services.

We may add, change, or remove features over time.

2. Eligibility and Accounts

You must be legally able to enter into these Terms and use the service in compliance with applicable law. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • Ensuring that your connected Microsoft or other third-party accounts are used lawfully
  • All activity that occurs under your account or workspace

3. Acceptable Use

You agree not to:

  • Use Avalon in violation of any law, regulation, or third-party right
  • Interfere with or disrupt the service, its infrastructure, or other users
  • Attempt to gain unauthorized access to Avalon, connected systems, or data
  • Use the service to distribute malware, spam, or harmful automated traffic
  • Misrepresent your identity or authority when using connected mailboxes or integrations
  • Use Avalon in a way that violates provider terms for Microsoft or other connected services

We may suspend or terminate access if we reasonably believe your use violates these Terms or creates risk for Avalon, users, or third parties.

4. Customer Data

As between you and Avalon, you retain your rights in the content and data you submit to or process through the service, subject to the rights necessary for Avalon to operate the product.

You grant Avalon a limited right to host, process, transmit, display, and analyze your data only as needed to provide, maintain, secure, and improve the service and to comply with law.

You are responsible for ensuring that you have the necessary rights, permissions, and legal basis to connect accounts and process data through Avalon.

5. AI and Automation Features

Avalon offers AI-assisted and automation-driven features. Those outputs may be useful but are not guaranteed to be complete, correct, or suitable for every use case.

You are responsible for reviewing drafts, summaries, automations, and actions before relying on them in high-stakes, regulated, or sensitive situations.

6. Third-Party Services

Avalon depends on third-party services such as Microsoft, hosting providers, model providers, analytics tools, and payment processors. Your use of connected third-party services may also be subject to those providers’ own terms and policies.

We are not responsible for third-party services, outages, policies, or changes outside our control.

7. Fees and Billing

If you subscribe to a paid plan, you agree to pay applicable fees and taxes. Pricing, billing intervals, and plan features may vary by offer.

Unless otherwise stated:

  • Fees are non-refundable except where required by law
  • We may suspend paid features for failed or overdue payments
  • We may change pricing or plan structure prospectively with notice where appropriate

8. Intellectual Property

Avalon and its related software, design, branding, documentation, and service content are owned by Avalon or its licensors and are protected by intellectual property laws.

These Terms do not give you ownership of Avalon or any related intellectual property. We grant you a limited, non-exclusive, non-transferable, revocable right to use the service in accordance with these Terms.

9. Feedback

If you provide feedback, suggestions, or ideas about Avalon, we may use them without restriction or obligation to you.

10. Service Availability

We work to keep Avalon available and reliable, but we do not guarantee uninterrupted or error-free service. We may perform maintenance, release updates, or change product behavior at any time.

11. Termination

You may stop using Avalon at any time. We may suspend or terminate your access, in whole or in part, if:

  • You violate these Terms
  • Your use creates security, legal, or operational risk
  • We are required to do so by law
  • We discontinue the service or a relevant part of it

Sections that by their nature should survive termination will survive, including provisions relating to ownership, disclaimers, limitations of liability, payment obligations, and dispute terms.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVALON IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVALON AND ITS AFFILIATES, SERVICE PROVIDERS, LICENSORS, AND PERSONNEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO AVALON FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR
  • USD $100

14. Governing Law

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the service shall be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction and venue.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated version and revise the effective date above. Your continued use of Avalon after the updated Terms take effect means you accept the revised Terms.
